01 · Why coastal Louisiana

A coast with a long space history

New Orleans is home to NASA's Michoud Assembly Facility, "America's Rocket Factory," founded in 1961. To the west, Lafayette Parish, home of Acadiana's largest city, keeps adding people while the state as a whole has not.

These figures describe the area, not the fund. Past growth does not predict future results, and an investment in the fund could lose money.

Questions

Who can invest?

Only accredited investors, as defined in Rule 501(a) of Regulation D. For most people that means income over $200,000 a year ($300,000 with a spouse or live-in partner) in each of the last 2 years and the same expected this year, or net worth over $1 million, alone or with a spouse or live-in partner, not counting your primary home. Some licensed professionals and entities also qualify.

How is accredited status verified?

Before accepting any investment we verify it, for example by reviewing tax forms or recent account statements, or with a letter from your CPA, attorney, broker-dealer or SEC-registered investment adviser. Checking a box is not enough.

What will the fund invest in?

Land, and options to buy land, in coastal Acadiana, Louisiana, starting in Vermilion Parish. The fund does not plan to invest in operating companies. The offering documents will describe the strategy in full.

What are the minimum, fees and terms?

The terms are not final. They will be in the information packet, which the announcement list gets first. The offering documents will set them out in full and will control.

When does the fund open?

When the offering documents are ready. The announcement list hears first.

Who runs the fund?

Louisiana Space Coast Fund is a planned private fund sponsored by Lashbrook Growth Fund, LLC, which will run it as manager. Correll Lashbrook runs Lashbrook Growth Fund. Investors will own interests in the fund, not in the manager.

Can I sell my interest later?

Private fund interests are illiquid. They cannot be freely sold, transfers will be limited, and you should expect to hold your investment for the life of the fund. The offering documents will describe any transfer or withdrawal rights.

Is the fund registered with the SEC?

No. Fund interests will not be registered with the SEC or any state, and no regulator has approved them. The fund plans to rely on Rule 506(c) of Regulation D, which allows public announcements but limits investors to verified accredited investors.

Is the fund connected to NASA or a space company?

No. Louisiana Space Coast Fund is not affiliated with, sponsored by or endorsed by NASA, any space or launch company, or any government agency.
